Aurora Cannabis Stock Surges 20% as Organigram Strikes a C$561 Million Deal
2026-11-03
Aurora Cannabis (NASDAQ: ACB) surged about 20% on Tuesday, November 3, 2026, after Organigram Global (NASDAQ: OGI) agreed to acquire the Canadian producer for C$7.80 per share — a friendly deal valued at about C$561 million that tops a hostile bid from Curaleaf Holdings. Aurora traded near $5.05 to $5.06 in mid-morning trading, its highest level since December 2025, and the news lifted the wider Canadian cannabis sector.
What happened
Organigram and Aurora announced the agreement on Tuesday morning. Under the terms, Aurora shareholders can elect, for each share they hold, C$7.80 in cash, 5.8626 Organigram shares, or a mix of C$3.75 in cash plus 3.0431 Organigram shares. Total cash is capped at about C$253.6 million and total new Organigram shares at about 205.8 million, so all-cash or all-stock elections will be prorated.
The C$7.80 price is a 32.4% premium to Aurora's closing price on Monday, a 93% premium to its unaffected price on August 10 — the last session before Curaleaf disclosed its takeover plans — and a 21% premium to the value of Curaleaf's revised hostile bid, which Aurora's board unanimously rejected. Both companies' boards unanimously support the Organigram deal, following a unanimous recommendation from Aurora's special committee.
Why it is blowing up
This ends, for now, a takeover fight that has run since August. Curaleaf first bid about US$4 per Aurora share, valuing the company at roughly $272 million, and later raised its offer to US$5 per share in October. Aurora spent almost three months fighting that approach and said in late October that it was exploring alternative deals. Organigram's higher, board-backed offer gives Aurora shareholders a clear, agreed exit — and gives traders a concrete price to trade toward, which is why the stock jumped straight toward a 10-month high.
The financing also matters. BT DE Investments, a subsidiary of British American Tobacco and Organigram's cornerstone strategic investor, will buy about C$187.5 million of newly issued Organigram shares at C$1.33 per share, and an expanded ATB Financial credit facility helps fund the cash portion. The companies say the deal is fully financed, removing one of the usual questions that hangs over a bid of this size.
The combined company in brief
Aurora shareholders are expected to own about 35% of the combined company on a fully diluted economic basis and about 42% of the voting power. The merger pairs Aurora's global medical cannabis platform with Organigram's leading Canadian recreational brands, creating a business operating across Canada, Europe and Australia, with five production and distribution facilities. The companies have identified more than C$50 million in expected cost synergies.
Organigram chief executive James Yamanaka called the transaction a defining step in building a disciplined, global cannabis leader. Aurora executive chair and chief executive Miguel Martin said the offer followed a robust strategic review and delivers compelling value for Aurora shareholders.
What happens next
The deal is not done yet. It needs approval from Aurora shareholders — two-thirds of votes cast — as well as court and regulatory approvals. Shareholder meetings are expected in December 2026, and the companies target closing in January 2027. Until then, Aurora's board continues to recommend that shareholders reject Curaleaf's hostile bid and vote for the Organigram transaction. This report describes what was announced and how markets reacted; it is not a recommendation to buy, sell or hold any security.
