Welltower Raised Its Guidance — and Still Slipped After Hours: Inside the $21 Billion Senior-Housing Buying Spree

2026-10-26

Welltower raised its full-year guidance on Monday — and its stock still slipped after hours

Welltower (NYSE: WELL), the Toledo, Ohio-based healthcare real estate investment trust, reported third-quarter 2026 results after the close on Monday, October 26, raised both of its full-year guidance ranges, and disclosed that it has now closed or is under contract to close $21.0 billion of investments in 2026. Normalized funds from operations came in at $1.67 per diluted share, up 24.6% from a year earlier and ahead of the $1.64 consensus estimate, while total revenue rose about 38% year over year to $3.72 billion. Even so, shares eased in post-market trading, with reports noting that net income and revenue trailed some consensus expectations despite the FFO beat and the guidance raise.

What happened in Q3 2026?

Welltower reported net income of $415 million, or $0.54 per diluted share attributable to common stockholders, for the quarter ended September 30, 2026. The metric REIT investors watch most closely — normalized FFO attributable to common stockholders — was $1.67 per diluted share, a 24.6% increase over the prior year. Revenue of $3.72 billion was up 38.3% year over year but missed consensus by about $30 million, according to Seeking Alpha's summary of the release, which helps explain why the guidance raise did not produce an after-hours rally.

The operating engine was senior housing. Total portfolio same-store net operating income (SSNOI) grew 15.8% year over year, driven by 21.0% SSNOI growth in the Seniors Housing Operating (SHO) portfolio. SHO same-store revenue rose 9.1%, helped by 320 basis points of occupancy growth and a 5.3% increase in revenue per occupied room (RevPOR).

Why is the $21 billion investment figure blowing up?

The scale of Welltower's buying is the headline beneath the headline. Year to date, the company has closed or is under contract to close $21.0 billion of pro rata gross investments — $13.3 billion completed in the first nine months of 2026 and another $7.7 billion closed or under contract after quarter-end. In the third quarter alone, Welltower completed $4.1 billion of pro rata gross investments including development funding, with $2.7 billion spent across 43 seniors housing properties in markets including Naples, Florida; Denver; San Jose, California; and Los Angeles, according to Senior Housing News.

At the same time, Welltower kept recycling capital: it completed $484 million of dispositions and loan repayments in the quarter, including 25 outpatient medical properties and seven seniors housing properties sold for a combined $284 million. Brookdale Senior Living also acquired 30 communities it had leased and operated from Welltower for $290 million. The company ended the quarter with net debt to adjusted EBITDA of 3.02x and about $9.5 billion of available liquidity, and in July it issued C$1.15 billion of senior unsecured notes at a weighted-average coupon of 3.95%.

What guidance did Welltower raise?

Welltower lifted its 2026 net income guidance to $3.31 to $3.37 per diluted share, from $3.11 to $3.19 previously. It also raised full-year normalized FFO guidance to $6.47 to $6.53 per diluted share, from $6.36 to $6.44. Underpinning those ranges, the company expects blended same-store NOI growth of 15.0% to 16.25% for the year, with Seniors Housing Operating SSNOI growth of about 20.25% to 21.75%. Management noted the guidance includes only acquisitions already announced or closed.

The board also declared a quarterly cash dividend of $0.85 per share — Welltower's 222nd consecutive quarterly dividend — payable November 19, 2026 to stockholders of record as of November 10, 2026.

Why did the stock slip if guidance went up?

The after-hours reaction was muted rather than celebratory. Welltower shares had closed the regular session higher — around $240, up roughly 1.2% to 1.4% on the day — but slipped in post-market trading. Seeking Alpha reported the shares trading lower as third-quarter net income trailed consensus, overshadowing the raised profitability guidance, even though normalized FFO per share beat expectations. In other words, investors got a bigger, faster-growing senior-housing platform, but also a quarter where the GAAP bottom line and the top line did not quite clear every bar the market had set.

What's next?

Welltower will discuss the results, industry trends and portfolio performance on a conference call on Tuesday, October 27, 2026 at 9:00 a.m. Eastern Time. Investors will be listening for detail on the remaining $7.7 billion of investments due to close in the fourth quarter, whether senior-housing occupancy and RevPOR growth can sustain the 20%-plus SSNOI pace embedded in guidance, and how management plans to fund the next leg of deployment with leverage already at 3.02x and liquidity near $9.5 billion.
